These Terms of Service ("Terms") govern your use of pandacps.com and the PandaCPS affiliate network platform (the "Service"), operated by FULLHOUSE ASSET Management LLC (Los Angeles, California, USA; collectively "PandaCPS", "we", "us").
By creating an account or using the Service, you accept these Terms. If you do not agree, do not use the Service.
1. Definitions
- Brand — a merchant operating an affiliate program through PandaCPS.
- Publisher — a customer-acquisition partner (KOL, group operator, paid-traffic specialist, etc.) participating in Brand programs.
- Program — a Brand's offer (commission rate, cookie window, destination URL, terms) that Publishers can apply to promote.
- Conversion — a sale, lead, install, or other commissionable action attributed to a Publisher click.
- Take Rate — PandaCPS's share of gross commission, currently 20% (subject to adjustment per Section 7).
2. Account & Eligibility
You must be at least 18 years old and legally able to enter contracts in your jurisdiction. Brands and Publishers must provide accurate business information including legal entity name, contact email, and (for U.S. payouts) a valid W-9 or W-8 BEN form.
We may approve, deny, or revoke any account at our sole discretion, with or without cause. Reasons for denial typically include: incomplete documentation, fraudulent patterns, sanctioned jurisdictions, or violations of Brand-specific eligibility rules.
3. Brand Obligations
- Provide accurate program terms (commission rate, cookie window, allowed traffic sources, exclusions).
- Send conversion postbacks to
POST /api/convwithin 7 days of order occurrence, with valid API key. - Pay invoices within 15 days of monthly statement issuance (Net-15).
- Honor approved conversions; reversal requests must include documented reason (refund, fraud, return) within 30 days of conversion approval.
- Comply with FTC, GDPR, and applicable advertising laws.
4. Publisher Obligations
- Promote Brand programs only via approved traffic sources stated in your application.
- Disclose affiliate relationships per FTC 16 CFR Part 255 (Endorsements Guide).
- No prohibited tactics: cookie stuffing, trademark bidding (unless Brand permits), spam, fake reviews, incentivized clicks without Brand approval.
- No traffic from sanctioned jurisdictions or to fraudulent Brand sites.
- Provide accurate payout information and tax forms before first payout.
5. Tracking & Attribution
We use last-click attribution with a 30-day cookie window (configurable per Program). Clicks are tracked via signed click IDs passed in the destination URL (?pcps_click=) and optionally via first-party cookie on the Brand domain.
Brand is solely responsible for correctly passing the click ID back via conversion postback. PandaCPS is not liable for missing attribution due to Brand integration errors, ad blockers, or user privacy settings.
6. Conversion Approval & Payouts
- Conversions enter status
pendingon receipt; admin review precedesapprovedstatus. - Brands may reverse conversions within 30 days for documented reasons (refund, fraud, chargeback). Reversed conversions return commission to Brand and remove publisher payout eligibility.
- Monthly settlement runs on the 1st of each calendar month for the preceding month's approved conversions. Publisher payouts issue Net-30from settlement date, contingent on Brand invoice payment.
- Minimum payout threshold: $50 USD. Below-threshold balances roll forward.
7. Take Rate & Fee Changes
Current PandaCPS take rate is 20% of gross commission. Brands and Publishers see this transparently in dashboards and statements. We may adjust the take rate with 30 days' notice via email; existing conversions are settled at the rate in effect when the conversion was created.
8. Intellectual Property
- Brands grant Publishers a non-exclusive, revocable license to use Brand assets (logos, banners, copy) solely for promoting the Program during active participation.
- Publishers retain ownership of their content; PandaCPS receives a license to display Publisher attribution within the platform.
- The PandaCPS platform, software, and data aggregations are PandaCPS proprietary property.
9. Confidentiality
API keys, conversion data, payout information, and business terms are confidential. Sharing API keys or conversion-level data with third parties without prior written consent is grounds for account termination.
10. Termination
Either party may terminate participation with 30 days' notice. PandaCPS may terminate immediately for breach of these Terms, fraud, or activity jeopardizing the platform. Upon termination: (a) pending conversions continue through standard approval/payout cycles; (b) confidentiality obligations survive 2 years; (c) unpaid commissions remain owed.
11. Disclaimers & Limitation of Liability
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE"WITHOUT WARRANTIES OF ANY KIND. PANDACPS IS NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES. AGGREGATE LIABILITY IS CAPPED AT THE TOTAL FEES PAID OR EARNED IN THE 12 MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify and hold PandaCPS harmless from claims arising from your breach of these Terms, your traffic, or your business operations.
13. Governing Law & Disputes
These Terms are governed by California law (without regard to conflict-of-laws principles). Disputes shall be resolved in state or federal courts of Los Angeles County, California. Both parties waive participation in class actions; disputes shall be brought individually.
14. Modifications
We may modify these Terms with 30 days' notice via email + platform banner. Continued use after the effective date constitutes acceptance.
